Heritage Capital Management Pte Ltd was incorporated as a boutique fund management under Regulation 41(1)(e) of the Securities Industry Regulations ["SIR"]. In accordance to the regulation, a company may operate an investment advisory business in Singapore without holding an investment adviser's licence under the Securities Industry Act (Cap 289) ["SI Act"] if it confined its investment advisory business to not more than 30 accredited investors. An accredited investor is defined in the SIR as an individual with net personal assets exceeding S$5 million or its equivalent in foreign currencies or a corporation with net assets exceeding $S10 million in value or its equivalent in foreign currencies as determined in accordance with the most recent audited balance sheet of the corporation.
